Risk Assessment and Compliance Management NEIL JACKSON, CISA

Neil Brereton Jackson, a 38-year industry leader in financial services and technology auditing, formed JAT Risk Solutions, LLC to provide IT, Operational and Process Risk Assurance Audit, Business and Technology Contingency and Resumption Planning, Security, Regulatory and Standards Compliance consulting services, including pre-compliance control objective and risk mitigation examines for assuring sustainable solutions for Sarbanes-Oxley compliance. Mr. Jackson’s career includes executive management positions at Central Fidelity Banks, Inc., since acquired by Wachovia, where he served as a Senior Vice President & Associate General Auditor responsible for IT Auditing and Compliance Support. At E*TRADE Financial he established and directed the Global IT Audit Function. Immediately prior to founding JAT, he was the Director of Information Technology Audit Services for the 22nd largest CPA firm in the nation -- leading their efforts in acquiring technical consulting and audit engagements focusing on (i) risk mitigation, (ii) business resumption, (iii) IT valuations, and (iv) security in financial, insurance, operations and technological processes. Active both internationally and domestically, he has performed successfully with clients in China, Hong Kong, Europe, and throughout the US -- credited with adding significant value to the Sarbanes-Oxley compliance processes. These engagements include the participation in or direct management of more than 20 accelerated SOX engagements for a (i) multinational transportation conglomerate, (ii) an international institutional and retail investment company, (iii) an international shipping and logistic company, and (iv) numerous banks, insurance and real estate investment trust companies (REITs) supporting various systems including SAP, ORACLE, and PeopleSoft. Mr. Jackson is a recognized authority on the implications of Sarbanes-Oxley Act, FDICIA, GLBA, FDA validation, ISO, IAS, HIPAA, SB 1386 and 21, CFR Part 11, the Basel Capital II Accord operational risks assessments in IT, ISO 27001, ISO 17799 and NIST guidelines.

Recently, he authored the presentation “SOA 404 - Compliance Begins with the CIO” for the CIO Forum and CIO Magazine in 2003. Neil is a graduate of the Director’s College at the University of Georgia and a candidate for degree at Lynchburg College. As a Certified Information Systems Auditor (“CISA”), he is a current invitee to KPMG’s Audit Committee Roundtable, a speaker on banking IT and process risk with the Virginia Association of Community Banks and an invited guest lecturer on ethics and honor in business at the AICPA’s National Bank Auditors School held at the University of Virginia’s McIntyre School of Commerce. He is a member of Central Virginia Technology Council.




TRACY GATES, CISA, CPA

Tracy Gates’ a principal with JAT Risk Solutions, joined after a career reflecting over fifteen years of experience in banking technology covering systems design and operations, information systems audit, strategic planning, and regulatory compliance Tracy assists clients in managing both IT and regulatory risks and reporting requirements. As a CPA, Tracy possesses the trademark skepticism that tempers the promises of technology with the realities of the financial goals and constraints of his clients, and provides objective advice to help ensure that technology is a profitable, long-term investment. Mr. Gates’ focus is on the development and application of (i) Sarbanes Oxley entity and IT level control documentation and testing, (ii) SAS 70 reviews (Type I and Type II), (iii) bank regulatory assessments (GLBA, ACH, FFIEC), (iv) disaster recovery planning and testing, (v) evaluation of controls in information systems (Exhibit C) insurance examinations, (vi) information technology audits, and (vii) SAS 94 reviews. Tracy is a Certified Information Systems Auditor (CISA), a licensed CPA and member of the North Carolina Association of CPAs. He holds a Bachelor of Arts degree in Accounting from Lynchburg College.




KEN WILLIAMS

Mr. Williams joined JAT with over 25 years of international experience in the enterprise risk services specializing in industry security solutions, information security operations, and regulatory compliance solutions within the banking, healthcare and telecommunications sector. Prior to JAT, Mr. Williams held leadership positions at KPMG LLP Information Risk Management practice, was CISO of a regional telecommunications provider, and a co-founder of META Security Group.

Mr. Williams is a frequent speaker on IT governance and regulatory compliance and conducts CIO Roundtables regularly on Sarbanes Oxley Act, USA PATRIOT Act, Basel II Accord, International Standards Organization (ISO17799), Gramm-Leach-Bliley Act (GLBA), Health Insurance and Portability Accountability Act (HIPAA), Federal Deposit Insurance Act (FDIC), Government Information Security Reform Act (GISRA), Federal Energy Regulatory Commission (FERC), and European Union Data Protection Act (EUDPA).

  • Conducted security attack and penetration assessments for financial institutions, telecommunications companies, healthcare organizations, and several U.S. government agencies where a Top Secret Clearance is required.

FRED TILLEY, CISA

Frederick G. Tilley, co-founded JAT Risk Solutions, LLC, after a 27-year industry leading career in Risk Management Advisory Services. Mr. Tilley has extensive hands-on and executive level experience in the practice of control design, implementation and management. He specializes in the areas of Homeland Security, Business Resumption, Audit, Physical and Information Security, Investigative Services and Regulatory Compliance. Prior to forming JAT, Mr. Tilley held the positions of (i) Managing Director of Corporate Security, (ii) Director of Information Security and Business Resumption Planning, and (iii) Managing Director of Information Security Auditing, with worldwide responsibility for all functions at two multi-national financial service’s institutions. As the Board of Director’s appointed position of Bank Security Officer, he was responsible for risk management disciplines of Homeland Security, Executive Protection; Corporate Information Security; Business Resumption Planning; Investigative Services; Computer Forensics; Workplace Violence Prevention; Corporate Aircraft; Crisis Management; Know Your Customer Program; International Travel Safety and Security; Guard Services and Alarm Monitoring; Security Quality Assurance; and Fingerprinting and Card Access Processing. RICHARD KARSCH

Richard Karsch a senior manager with JAT possesses nearly 15 years of experience in investment banking, commercial banking, mortgage banking, secondary mortgage market activities and international strategic consultancy and advisory services. His emphasis is on project management, application and solution development, workflow analysis, operational processing, vendor management and strategic planning in the investment, commercial and mortgage banking industries -- focusing on both traditional and internet/e-commerce distribution channels. As a project manager, Mr. Karsch has led the implementation and integration of several loan origination systems, portfolio management and asset management systems. These projects have included the initial strategic analysis and assessment for new product and service offerings, business requirements analysis, gap analysis, software development life cycle management, testing, integration of third party vendor services and implementation of solutions. Mr. Karsch held the position of Technology Relationship Manager at E*TRADE Financial where he implemented several internet-enabled and back-office system solutions supporting the consumer assets group of E*TRADE Global Asset Management. Prior, Mr. Karsch held the position of Manager with KPMG Consulting’s Financial Services practice participating in the development of several online solutions including the creation of an internet-only banking entity and a real-time, Internet-based auction exchange platform for financial assets. Additionally, Mr. Karsch has participated in the privatization of over $4 billion in government-held assets including, mortgage loans, bonds, participations and real estate-owned properties of HUD, FHA, SBA, FDIC and the RTC. Internationally, he has (i) aided the Korean Asset Management Company in the development of an asset management system and process for the management of non-performing loans and assets, (ii) developed an export feasibility assessment for a Slovenian textile firm seeking to penetrate global markets, and (iii) implemented a customer satisfaction survey for several of Philips Automotive Lighting’s US-based clients. Richard holds a Bachelor of Science degree in Finance, a Bachelor of Science degree in Management and an MBA from the R.B. Pamplin College of Business at Virginia Tech.




JASON R. CARR CISA, CPA, CFE

Jason Carr is the Senior Manager for JAT’s fraud examination and litigation support group. Mr. Carr’s career includes over seven years of experience in banking and insurance technology covering Financial Services Auditing, IS security and risk management, and Regulatory Compliance and Reporting with an emphasis on money-laundering detection and prevention practices. Mr. Carr provides value through a unique combination of forensic accounting and computer systems examination techniques and is JAT’s primary lead in the examination and support of receiverships and liquidations. Further, his focus includes (i) Litigation Support Services, (ii) Forensic Data Recovery, (iii) Financial Statement Audits, GAAP and GAAS, (iv), Sarbanes Oxley control documentation and testing, (v)Information System Audits and Evaluations and (vi) SAS 94 reviews. With experience in fraud examination and litigation support, Jason has provided law firms and state deputy receivers with data analysis and extraction to identify fraudulent financial transactions and support expert witness testimony. Jason is a Certified Information Systems Auditor (CISA), a licensed CPA in North Carolina, and a Certified Fraud Examiner. He holds memberships in the American Institute of Certified Public Accountants (AICPA), the North Carolina Association of CPAs (NCACPA), the Information Systems Audit and Control Association (ISACA) and the Association of Certified Fraud Examiners (ACFE). CHRISTOPHER N. FRASER, MBA, CPA, CITP, MCP, CISA

Chris joined JAT with a unique combination of extensive IT and Process risk experience and strategic business expertise from a 15 year career as a Certified Public Accountant specializing in Information Technology. Chris is distinctively qualified to provide added and measurable value benefits any size company, whether private or non-profit, including governmental agencies.

Chris is a CPA who has the distinguishing CITP (Certified Information Technology Professional) designation, issues by the AICPA. As a CITP Chris serves clients by providing both IT Business Consulting and IT Assurance Services that enhance companies’ margin of success.

His background includes project management roles in major systems operations of multi-million-dollar financial, technology and manufacturing companies throughout the U.S. He is know to develop and install company-specific applications that reduce risk, and improve processes, work-flow, database and financial systems management. Chris has been further recognized by Microsoft Corp. as the first Small Business Specialist in Tampa/St. Petersburg.

Prior to joining JAT Chris was Business Information Technology Consulting Manager for the 23rd largest CPA firm in the nation. In his capacity there he was responsible for the Southeast business community and served as project coordinator and manager for a variety of Sarbanes-Oxley engagements.

PETER S. ADAM

Peter Adam joined JAT Risk Solutions as a thirty-plus year veteran in the areas of risk management, industrial planning, strategic financial and compliance analysis and financing, merchant and investment banking -- with a particular emphasis on extractive industries focusing on chemical, petroleum and energy sectors.

Mr. Adam’s experience in the areas of risk management identification and mitigation encompasses a variety of perspectives. Mr. Adam’s advisory services have been utilized directly by private sector clients, public sector clients, sovereign governments (and their directly-controlled entities) and academia. Thus, this experience enables a broad view providing a vantage from both contiguous and opposing positions in the application of risk management.

As Senior Advisor to Mobil’s (since renamed ExxonMobil) Middle East and Marine Transport Department, Mr. Adam oversaw planning activities and investment analysis of Mobil’s extensive oil and gas exploration, production, trading, refining and marketing activities in the Middle East and Africa. He assisted and coordinated operational and shipping activities with Saudi Aramco, Abu Dhabi National Oil Co., Emirates General Petroleum Corp. and the Nigerian National Petroleum Company (NNPC) Oso Field Development Project. Additionally, he supervised the Gulf War Impact Planning Study, a comprehensive assessment of the impact of the Gulf War, 1991, encompassing Mobil’s operations and the entire petroleum sector worldwide, but focused primarily on the company’s Middle East activities.

Prior, Mr. Adam served as Analyst/Principal for a privately-held investment company and at a merchant banking operation where he facilitated (i) capital raising via private placements, (ii) public offerings and venture capital involvements, and, (iii) coordinated M&A and financing activity for clients/entities, including the world’s most known multi-national corporations.

A noted author, Mr Adam researched and published articles on various energy, and energy-related matters (private and public sector) for Petroleum Review, which is published by the Institute of Petroleum the UK counterpart to the American Petroleum Institute, and Euroil, and Oil and Gas Investor. Additionally, Mr Adam served as Chief Editor of Nasdaq Quarterly, an NASD publication that covered the Securities Exchange Commission (SEC) and other regulatory entities on issues pertaining to the listing and trading of Nasdaq stocks.

In academia, Mr. Adam taught and performed industrial planning work, petroleum and non-petroleum related at the King Fahd University of Petroleum and Minerals (KFUPM). He also held the position as Assistant Professor and Research Economist with the University and Research Institute, (KFUPM), Dhahran, Saudi Arabia. As part of a consulting group under the aegis of Prince Abdul Aziz bin Salman Al Saud, he was the Assistant to the Minister of Planning and Petroleum, Hisham Nazer. Clients for research/planning studies included: the Saudi Ministries of Petroleum, Planning and Tele communications, Saudi Aramco, and Petromin, the Saudi, state-owned domestic refining and marketing company, etc.

Peter, a former Sergeant, (Arabic Linguist) U.S. Army, 101st Airborne Division, 265th Army Security Agency Company, Ft. Campbell, KY, with several temporary assignments at National Security Agency headquarters, Ft. Meade, Md. (Top Secret Clearance), obtained his MBA, Finance and Accounting, from Columbia University Graduate School of Business, and a BA from New School for Social Research, NYC. MICHAEL P. BICKFORD

Prior to joining JAT Risk Solutions, Mr. Bickford held senior positions and consulting roles in accounting, auditing, finance, client relations, engineering, information systems audit, manufacturing, marketing, bio-technology operations, and leadership. Mr. Bickford has an MBA with undergraduate degrees in business and engineering.

His demonstrated achievement as an executive, consultant, auditor, financial manager, brings over 15 years of experience as a team leader/player, producer of strategic plans, analyst of risk, and creator of cost effective and compliant solutions. Corporate Internal Audit Director, Cornerstone, Inc. (December 2004 – March 2005)
  • Responsible for compliance with Sarbanes-Oxley sections 302 and 404 for Cornerstone as of end of fiscal year and continued assurance of SOP across departments.

Hal "Buddy" Shearer
Manager of Vulnerability Assessments and Penetration Testing Technologies

Mr. Shearer joined JATRS after a twenty year career in information technology and is a proven leader in network design, infrastructure security, controls, process planning, e-commerce, and problem / risk assurance and problem management. His diverse technical and operational backgrounds enable him to adapt to and evaluate client technologies and processes very quickly.

Buddy’s career prior to joining JATRS includes significant experience in design, development, implementation, security and management of large IT infrastructures for a locally based consulting service for the energy and utility industries, located in Lynchburg, Virginia. He also has prior experience developing front-end Oracle database systems in classified and non-classified business and operations units for BWX Technologies, the world leader in naval nuclear power and services.

In addition to the nuclear and energy industries, Buddy began his career in banking and held management positions in Systems Operations and Internal Information Technology Audit.

Buddy is a graduate from Lynchburg College in Lynchburg Virginia with a major in Business Administration.




Michael W. Rorer
Principal Consultant Emergency Services

Michael W. Rorer joined JAT Risk Solutions, LLC after a 30-year career in law enforcement and private investigation services. Mr. Rorer has extensive hands-on experience in law enforcement best practice, risk assurance and working with community resources to strengthen their understanding and oversight responsibilities.

For twenty-eight years, Mr. Rorer was a recognized community resource for the Virginia State Police. He retired as a Master Trooper retaining his close and important relationship with the communities he served. Mr. Rorer is understands the necessary process, training and controls that are required for community advisory committees to succeed Utilizing JATR’s risk based management approach and disciplines Mike will lead your community’s police performance improvement and their support for their police officers and management. Jeff leads JATRS’s efforts in EMS risk assessment and process analysis. Jeff is currently the E-911 Manager for a nationally recognized 911 Center that provides Law Enforcement, Fire and Emergency Medical Services covering approximately 800 square miles and serving approximately 70,000 residents. His area of services includes both rural and urban demographics and includes over five hundred miles of shore line. His responsibility includes five (5) independent law enforcement agencies, twelve (12) volunteer Fire Departments, twelve (12) volunteer EMS agencies, three (3) Animal Control agencies and various other government functions such as Public Works and Utilities.

Jeff has complete responsibility for the day-to-day operations, recruitment and hiring of the 911 Center where he has been credited with instituting initiatives that improved responsiveness, scheduling, performance accuracy, recruitment and retention of employees. His responsibilities also include managing complaints and concerns. He has been tasked and commended on the creation of sound policies, and efficient and manageable procedures for the 911 center. As the center’s EMD Manager Jeff successfully implemented their Emergency Medical Dispatch Program. Jeff also has responsibility to assist the 911 Director with the budgeting process and accounting and control over the center’s payment processes.

Jeff’s jurisdiction operates and EDACS 800 MHz radio system where he is responsible for all radio and pager programming procedures and controls

To maintain his technical understandings, Jeff remains a member of one of the volunteer EMS agencies in our county, where he began his career in Emergency Services 19 years ago. In the EMS agency, he has held numerous officer positions including Captain for 12 years.

Shane brings over ten years Emergency Services Experience as a proven leader and innovator in EMS and Communications. His background includes the following:
  • Communications Training Specialist for a 911 center that provides Law Enforcement, Fire Services and EMS services for a community covering approximately 800 square miles that include rural and urban demographics.
  • Coverage area includes service and communications with Department of Interior National Park Service Officers within parts of the Blue Ridge Mountains and Blue Ridge Parkway. It also includes Virginia’s Department of Inland Waterways Fire/Rescue/EMS communication and responsibilities for one of the East coast’s largest in land waterways that has 500 miles of shoreline in three different counties.
  • Has worked strategically with local, county, state and federal law enforcement agencies including nationally respected Blue Ridge Thunder.
  • Provides service for citizens within an area that encompasses 5 Law Enforcement agencies, 12 volunteer Fire Departments, 12 volunteer EMS agencies, 3 paid EMS units, 3 Animal Control agencies and various other service providing governmental agencies.
  • Created and implemented the region’s first Communications Training Specialist position for providing consistent and highly skilled training for new hires

  • Designated Communications Expert Representative when EOC is activated.

Marlene joined JATRS as a special EMS Systems consultant with 7 years experience as a shift leader and 911 emergency communications officer. Her background includes the following qualifications:

She is currently employed with JATRS as a Lead EMS Risk Consultant and as a supervisor with a major nationally recognized EMS Communications Center. With over 7 ½ years of experience and responsibility for 4 Communication Officers and training new personnel, Marlene brings day to day experience operating the center and managing personnel. She has been credited with developing best practices and approaches to training that have brought professional commendations for expediency in training and getting new personnel certified through her state’s Criminal Information Network.

Her center has responsibility for multiple entities including County Sheriff’ Offices, City Police, Animal Control in both County and City, 12 volunteer Fire and 12 separate volunteer Rescue Companies, Public Works, City Electric Department, Game and Inland Fisheries, Juvenile Intake and Social Services that cover nearly 1000 square miles.

Additionally Marlene is a Life-Time Member of her local Volunteer Life-Saving Crew and has been a valuable member for the past 15 years. There she has held the offices of President, Secretary, Training Officer and Liaison for both the Rescue Squad and Fire Department. As a life time and active member, she retains FireFighter I & II along with Haz-Mat awareness to further her skill set of the fire and emergency scene to assist with dispatching calls.
